1. Acceptance of Terms
By accessing or using the Media Expert website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Media Expert provides digital product development, design, and consulting services. The specific scope, deliverables, timeline, and fees for each project are defined in individual project proposals and agreements that supplement these general terms.
3. Intellectual Property
Upon full payment, the client receives complete ownership of all custom source code, design files, and documentation created specifically for their project. This includes:
- All custom application source code
- Design files and assets created for the project
- Technical documentation and deployment guides
- Custom API documentation
Media Expert retains ownership of its proprietary tools, frameworks, libraries, and methodologies that may be used in the delivery of services. Open-source components are subject to their respective licenses.
4. Payment Terms
Payment schedules are defined in individual project agreements. Unless otherwise specified, invoices are due within 14 days of issuance. Late payments may incur interest at the rate of 1.5% per month. We reserve the right to pause work on projects with overdue invoices exceeding 30 days.
5. Client Responsibilities
Clients are responsible for providing timely feedback, required content and assets, access to necessary systems, and designating an authorized point of contact for project decisions. Delays caused by late client deliverables may impact project timelines.
6. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. All deliverables include a 30-day warranty period during which we will fix any bugs or defects at no additional cost. Beyond this warranty, our website and services are provided "as is" without additional warranties of any kind.
7. Limitation of Liability
To the maximum extent permitted by law, Media Expert shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives the termination of the agreement for a period of two years.
9. Termination
Either party may terminate a project agreement with 30 days written notice. Upon termination, the client shall pay for all work completed to date. We will provide all deliverables and source code completed up to the termination date.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of Malta. Any disputes arising from these terms or our services shall be resolved through the courts of Malta.
11. Changes to These Terms
We reserve the right to modify these terms at any time. Significant changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated terms.
